CCI clears Fairfax-linked investment in IIFL Capital Services

The approved structure combines a preferential share issue, a mandatory open offer and a possible secondary promoter purchase.

By SCULTRA Services Editorial DeskPublished Updated

The Competition Commission of India has approved FIH Mauritius Investments' acquisition of additional equity in IIFL Capital Services.

The proposed structure includes subscription to newly issued shares, purchases tendered through a mandatory open offer and a possible secondary purchase from promoters if the investor's aggregate holding remains below the planned level after the first two steps.

Why it matters

The transaction could change ownership concentration and the capital structure of a regulated Indian financial-services company operating across broking, investment banking and wealth-related services.

SCULTRA point of view

Competition approval removes one regulatory hurdle. Operational significance depends on the final holding, capital deployed, governance changes and completion of the remaining transaction conditions.

Limitations

The release does not state the final acquired percentage, transaction value, closing date or detailed competition analysis. Approval does not mean the transaction has completed.
